Terms of Service
Please read these Terms of Service ("Terms") carefully before engaging TerraTech AI Systems Pty Ltd ("TerraTech", "we", "us") to provide services. By signing a service agreement or proceeding with a paid engagement, you agree to be bound by these Terms.
1. Services
TerraTech provides AI automation services including but not limited to AI Website Chatbot, AI Voice Receptionist, and AI-Powered Website design and management (collectively, the "Services"). The specific services, pricing, and scope are set out in your individual service agreement or proposal.
2. Payment Terms
Services are provided on a monthly retainer basis. Fees are invoiced monthly in advance in Australian Dollars (AUD). Payment is due within 7 days of invoice date. We reserve the right to suspend Services if payment is overdue by more than 14 days.
There is no setup fee unless otherwise specified in writing. There is no minimum contract term unless otherwise agreed.
3. Cancellation
Either party may terminate the engagement with 30 days' written notice. Upon termination, access to TerraTech-managed systems will be wound down in an orderly manner. You retain ownership of any data, content, or assets you provided to us.
4. Intellectual Property
All AI configurations, system prompts, workflows, and automation frameworks built by TerraTech remain the intellectual property of TerraTech unless otherwise agreed in writing. Your website content, branding, and business data remain your property at all times.
5. Limitation of Liability
To the maximum extent permitted by law, TerraTech's aggregate liability to you for any claim arising out of or in connection with the Services is limited to the total fees paid to TerraTech in the 3 months prior to the claim. We are not liable for indirect, consequential, or special damages.
6. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law. Where we are required by law to provide guarantees, these Terms do not exclude those guarantees.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement and not to disclose it to third parties without prior written consent, except as required by law.
8. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
9. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice. Continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms.
